2. Description of Service

AgentSubs provides newsletter-to-structured-data conversion services, including:

• Email ingestion
• Content parsing (HTML → markdown/JSON)
• API delivery to authorized agents
• Usage analytics

3. User Accounts

You must create an account to use the Service.

You are responsible for:

• Maintaining account security
• All activity under your account
• Promptly reporting unauthorized access

4. AI Agents

The Service allows you to connect agents (software, APIs, or integrations).

• You are solely responsible for all agents connected to your account
• You control what data agents can access
• We are not responsible for agent behavior, outputs, or misuse of data

5. Payment Terms

• Subscription: $19/month
• Billing: Recurring monthly via Stripe
• Refunds: 30-day money-back guarantee (first payment only)
• Cancellation: Effective at end of billing period
• Price changes: 30 days' notice

6. Content Rights & Responsibilities

You retain ownership of your content.

You represent and warrant that:

• You have all necessary rights to use and process the content
• Your use does not violate any laws or third-party rights

You grant us a limited license to:

• Process, store, and deliver your content

7. Acceptable Use

You agree not to:

• Send spam or unsolicited email
• Upload malicious code
• Violate laws or regulations
• Infringe intellectual property rights
• Attempt unauthorized access

8. Termination

We may suspend or terminate your access at any time if you:

• Violate these Terms
• Fail to pay
• Create legal or security risk

You may cancel your subscription at any time.

9. Service Availability

The Service may be modified, suspended, or discontinued at any time.

We do not guarantee:

• Continuous availability
• Error-free operation
• Data preservation without interruption

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• AGENTSUBS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
• WE ARE NOT LIABLE FOR DATA LOSS, SERVICE INTERRUPTIONS, OR THIRD-PARTY FAILURES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE LAST 12 MONTHS OR $100, WHICHEVER IS GREATER

12. Indemnification

You agree to indemnify and hold harmless AgentSubs from any claims arising from:

• Your use of the Service
• Your content
• Your connected agents
• Your violation of these Terms

13. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles.

14. Force Majeure

We are not liable for delays or failures caused by events beyond our control, including outages, infrastructure failures, or acts of God.

15. Changes to Terms

We may update these Terms. Continued use of the Service constitutes acceptance of the updated Terms.
